
It is resolved that the Ukrainian Mutual Benefit Association of St. Nicholas of Canada will discontinue its insurance operations regulated under the Insurance Companies Act and continue its fraternal operations under the Canada Corporations Act, Part II once the Assumption Reinsurance Agreement with Ukrainian Fraternal Society of Canada (UFSC) has been ratified and that certificates will have been officially assumed by UFSC. The following resolutions were passed at the 29th Tri Annual Convention held Novemebr 4, 2011: 1. Whereas it has been decided that UMBA will discontinue the operation of its insurance business, it is hereby resolved that the constitution be amended to delete any and all references to the operation of UMBA's insurance business. 2. Whereas the branches are no longer operating in the manner originally intended, it is hereby resolved that UMBA no longer have branches, and that the constitution be amended to delete all references to branches, and to remove all uses of the word “Supreme”. 3. Whereas the termination of the insurance business of UMBA will eliminate the need for policies and thus remove one of the criteria of membership, it is hereby resolved that every person who is a member of good standing of UMBA immediately prior to the transfer of UMBA’s insurance business pursuant to its reinsurance transaction shall be a member of good standing in UMBA thereafter. 4. Whereas the constitution currently provides for tri-annual conventions, and whereas three years is too long a time between regular meetings of the members, it is hereby resolved that UMBA have an annual general meeting, and that the constitution be amended accordingly. 5. Whereas it is desirable that every member have a vote in the affairs of UMBA, it is hereby resolved that every member in good standing shall have the right to vote at every general meeting of members. 6. Whereas there have been amendments to the constitution, it is hereby resolved that the numbering of sections and paragraphs be adjusted to accommodate the amendments. 7. Whereas UMBA will discontinue its insurance operations which were regulated under the Insurance Companies Act, it is hereby resolved that UMBA apply for letters patent of continuance for its fraternal operations as a non profit under the Canada Corporations Act. 8. Whereas the termination of UMBA's insurance business will result in UMBA being solely a fraternal organization, and whereas there has not yet been any determination of the role and operation of UMBA in the future, it is hereby resolved that the Executive is mandated to use various means to clarify the goals, objectives and operational procedures of UMBA and to present an amended constitution and bylaws at the next annual general meeting which must is to be held on or before November 30, 2012.The following resolution was passed at a Special Convention held September 18, 2011:
